PREAMBLE\ulnone :\ul\par

\ulnone\b0 INRA, in its laboratory \ldblquote Syst\'e8mes d\rquote Elevage, Nutrition Animale et Humaine\rdblquote  (UMR SENAH) has developed INRAPORC. INRAPORC is a software tool which allows predicting nutritional requirements and nutrient utilization in swine, particularly in sows and growing pigs.\par

INRAPORC uses data of the INRA-AFZ DATABASE, which is the property of INRA and AFZ. The INRA-AFZ DATABASE is the result of a collaboration between INRA and AFZ. The DATABASE contains information of the composition and nutritional values of animal feeds.\par

By governmental decree of March 14\super th\nosupersub , 2000, INRA has been authorized to establish a subsidiary limited company charged with valorization, called INRA TRANSFERT. INRA TRANSFERT is especially charged with the valorization of patents, know-how, software and databases developed by INRA and can negotiate, sign and manage license agreements related to this.\par

LICENSEE is a \caps commercial end-user\caps0 , as defined below, who seeks to obtain a non-exclusive license for INRAPORC and the DATABASE..\par

The aim of the present Agreement is to set out the conditions under which INRA TRANSFERT grants a license to LICENSEE to use INRAPORC and the DATABASE.\par

\ul\b ACCORDINGLY, THE FOLLOWING HAS BEEN AGREED UPON\ulnone :\ul\par

PRELIMINARY CLAUSE\par

\ulnone\b0 For the execution and interpretation of the present license, it is understood that:\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-568\li568\sa240\qj\ul\b INRAPORC\ulnone\b0 : the\i  \i0 INRAPORC software allows predicting nutritional requirements and nutrient utilization in swine, particularly in sows and growing pigs using data provided by the COMMERCIAL END-USER or using data from the DATABASE. INRAPORC has been registered by INRA at the APP (Software Protection Agency) on April 25\super th\nosupersub , 2005. The identification number (IDDN) that was assigned to it, and which accompanies the software and associated publications, is IDDN.FR.001.180002.000.R.P.2005.000.30100.\par

\ul\b\caps{\pntext\f1\'B7\tab}Database\ulnone\b0\caps0 : means the \ldblquote INRA-AFZ Database\rdblquote  and consists in the following:\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlblt\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-284\li852\qj\tx852 Textual elements: names of feed ingredients, chemical and nutritional characteristics, and units of measurement.\par

{\pntext\f1\'B7\tab}Numerical elements, identical to those published in the second edition of the INRA-AFZ \ldblquote Tables de composition et de valeur nutritive des mati\'e8res premi\'e8res destin\'e9es aux animaux d\rquote\'e9levage\rdblquote  (Sauvant, Perez and Tran, coordinators) published in March 2004, including:\par

\pard\nowidctlpar\fi-284\li1136\qj\tx1136 o\tab Values of chemical characteristics: dry matter, crude protein, crude fiber, crude fat (method with and without hydrolysis), ash, Neutral Detergent Fiber, Acid Detergent Fiber, Acid Detergent Lignin, sugars, starch and gross energy.\par

\pard\nowidctlpar\fi-568\li568\sa240\qj\ul\b USE\ulnone\b0 : means the access to the SOFTWARE, the downloading, installation, execution, and copying of the \caps software\caps0  or any other benefit resulting from using its functions.\par

\ul\b\caps Commercial End-User\ulnone\b0 :\caps0  means any person, commercial company, for-profit or not-for-profit organization using the \caps software\caps0  for its internal research, development and production purposes not having the right to redistribute the SOFTWARE to third parties.\par

\ul\b SERVER\ulnone\b0 : indicates the server located at the INRA Centre in Rennes, from which the COMMERCIAL END-USER may download INRAPORC, updates and the DATABASE (http://www.rennes.inra.fr/inraporc/).\par

The license granted for the INRAPORC software is accompanied by a non-exclusive, non-transferable license to the DATABASE and its data. This license is granted under the financial conditions specified in Article 8.1 of this agreement.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\sa240\qj\tx1420\ulnone\b0 3.1.\tab INRA TRANSFERT grants LICENSEE, as COMMERCIAL END-USER by this agreement, a non-exclusive, worldwide license to USE the DATABASE with the purpose of its USE with INRAPORC.\par

{\pntext\f1\'B7\tab}3.2.\tab Any USE of the DATABASE other than with INRAPORC requires a new license agreement for the DATABASE.\par

{\pntext\f1\'B7\tab}3.3.\tab The LICENSEE is not authorized to rent, sell, sublease, distribute, assign, transfer, license, sublicense or otherwise share the \caps database\i\caps0  \i0 or one of\i  \i0 the rights of INRA and AFZ on the\i  \i0\caps database\caps0 .\i\par

\i0{\pntext\f1\'B7\tab}3.4.\tab The license is granted \i intuitu personae\i0 . It is personal, inalienable and not transferable, except prior and specific agreement of INRA, AFZ and INRA TRANSFERT.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\li1420\sa240\qj In case of a merger, take-over or transformation of LICENSEE, or transfer of business to another company, the present agreement may not be transferred without prior and written consent from INRA TRANSFERT.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\sa240\qj\tx1420 3.5.\tab INRA and AFZ reserve the right to correct errors in the DATABASE, without the obligation for INRA and AFZ to provide assistance, maintenance or associated services related to the DATABASE.\par

{\pntext\f1\'B7\tab}3.6.\tab INRA and AFZ reserve the right to improve the DATABASE and to add data to it, without the obligation for INRA and AFZ to provide these improvements or additions to the LICENSEE. The use of updates to the DATABASE by the LICENSEE will be subject to additional remuneration.\par

{\pntext\f1\'B7\tab}3.7.\tab The LICENSEE does not acquire any rights, express or implied, to the DATABASE, other than those specifically set forth in this Article 3.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-994\li994\sa240\qj\tx994\ul\b Article 4.\tab DELIVERY OF THE SOFTWARE TO THE LICENSEE\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\sa240\qj\tx1420\ulnone\b0 4.1.\tab After signature of this license agreement\i , \i0 the LICENSEE will receive a confidential license activation key by e-mail allowing the USE of the SOFTWARE. This license activation key will be valid until December 31\super st\nosupersub  of current year. The LICENSEE will receive automatically a new license activation key before the end of each year. This new key will be valid until December 31\super st\nosupersub  of the next year.\ul\par

\ulnone{\pntext\f1\'B7\tab}4.2.\tab In case of problems during the USE of the SOFTWARE, the LICENSEE may contact INRA through a support form on the SERVER.\ul\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-994\li994\sa240\qj\tx994\b Article 5.\tab INTELLECTUAL PROPERTY RIGHTS\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\sa240\qj\tx1420\ulnone\b0 5.1.\tab INRAPORC, as well as any copy of it, is the intellectual property of INRA. The structure, the organization and the source code are trade secrets and confidential information that the LICENSEE is not allowed to use or disclose, except for the purposes mentioned in this agreement.\par

{\pntext\f1\'B7\tab}5.2.\tab The DATABASE as well as any copy of it, is the intellectual property of INRA and AFZ. The structure and the organization of the \caps Database\caps0  are trade secrets and confidential information that the\i  \i0 LICENSEE is not allowed to use or disclose, except for the purposes mentioned in this agreement.\par

{\pntext\f1\'B7\tab}5.3.\tab The LICENSEE will not have any right on INRAPORC or on the DATABASE, the data included in the DATABASE, or possible copies of it, except for the rights conceded in the present agreement. Moreover, the LICENSEE will:\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlblt\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-284\li1704\sa240\qj Respect and make respect the rights of INRA and AFZ on the DATABASE and the data included in the DATABASE.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\sa240\qj\tx1420 5.4.\tab The LICENSEE agrees to respect and not to remove, hide or conceal any copyright, trademark, indication of confidentiality or any other mention relating to the property or the mark, or legend appearing on\i  \i0 INRAPORC and the DATABASE, and to reproduce and include all mention of this type on each copy of INRAPORC authorized by the present agreement.\par

{\pntext\f1\'B7\tab}5.5.\tab INRAPORC and the DATABASE are protected by intellectual property rights in France and abroad by international agreements on author rights. The breach of one of the authors\rquote  rights constitutes an infringement crime punished in France by articles L335-2 and L343-1 of the law on intellectual property rights and punished by 2 (two) years imprisonment and a 150\~000 \'80 fine.\par

{\pntext\f1\'B7\tab}5.6.\tab The authors - INRA\i  \i0 and\i  \i0 AFZ - reserve all rights that are not expressly cited in the present license agreement.\par

It uses data of the INRA-AFZ database\rdblquote  or \ldblquote INRAPORC, copyright \'a9 INRA - AFZ\rdblquote , in any publication, presentation or other work for which the SOFTWARE was used to produce or confirm results which are subject to publication, presentation or other communication of work.\par

{\pntext\f1\'B7\tab}6.2.\tab LICENSEE agrees not to identify INRA and/or AFZ and/or INRA TRANSFERT in any promotional advertising or other promotional material to be disseminated to the public and not to use the name and/or logo of INRA and/or AFZ and/or INRA TRANSFERT without prior written consent of INRA TRANSFERT. Any use of the name of INRA, and/or AFZ and/or INRA TRANSFERT shall be limited to statements of fact and shall not imply endorsement of products or services.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlblt\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\qj\tx1420 To use INRAPORC and the DATABASE for any other purpose than as a COMMERCIAL END-USER as described in the present agreement.\par

{\pntext\f1\'B7\tab}To copy, duplicate, or reproduce INRAPORC and the DATABASE.\par

{\pntext\f1\'B7\tab}To remove the license activation key of the SOFTWARE.\par

{\pntext\f1\'B7\tab}To reverse engineer, decompile, or disassemble INRAPORC or to merge all or part of the INRAPORC program with other software programs.\par

{\pntext\f1\'B7\tab}To rent, sell, sublease, distribute, assign, transfer, license, sublicense or otherwise share one of the rights granted to the LICENSEE to INRAPORC or the DATABASE as described in the present agreement.\par

{\pntext\f1\'B7\tab}To make available to a third party, all or part of INRAPORC or the DATABASE without prior written consent of INRA TRANSFERT.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlblt\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\fi-426\li1420\sa240\qj\tx1420 To commercialize or benefit commercially in any other way, any product containing any all or part of INRAPORC or the DATABASE without establishing a separate license agreement, for commercial use, with INRA TRANSFERT.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\li1420\sa240\qj LICENSEE will pay INRA TRANSFERT a license fee of 500 \'80 (five hundred euros) net of taxes for the license granted by this Agreement. The license fee is to be paid upon reception of an invoice and after signature of this Agreement. This sum is to be paid in euros. Any legal taxes in effect on the date of payment, notably VAT, will be added if applicable. The license fee and added tax will no be refundable by INRA TRANSFERT in any event.\par

This condition shall be applicable without prejudice to the right of INRA TRANSFERT to terminate the agreement in accordance with the termination clause.\par

{\pntext\f1\'B7\tab}10.2.\tab INRA, AFZ, and INRA TRANSFERT have no obligation to provide any technical support and/or maintenance service for the DATABASE.\par

{\pntext\f1\'B7\tab}10.3.\tab INRA TRANSFERT grants a license to USE INRAPORC and the documentation on an \ldblquote as is\rdblquote  basis without warranties, either express or implied of any kind, of merchantability, fitness for a particular purpose or for any kind, and without any obligation for INRA and/or INRA TRANSFERT to provide complementary services or technical support.\par

{\pntext\f1\'B7\tab}10.4.\tab INRA TRANSFERT grants a license to USE the DATABASE on an \ldblquote as is\rdblquote  basis without warranties, either express or implied of any kind, of merchantability, fitness for a particular purpose or for any kind, and without any obligation for INRA and/or AFZ and/or INRA TRANSFERT to provide complementary services or technical support.\par

{\pntext\f1\'B7\tab}10.5.\tab The LICENSEE recognizes that current scientific and technical knowledge does not allow to test and verify all uses of INRAPORC and the DATABASE, or to detect existence of possible defects. The LICENSEE recognizes that INRAPORC and the DATABASE should be used only by knowledgeable users and that their USE comprises some risks.\par

\pard{\pntext\f1\'B7\tab}{\*\pn\pnlvlcont\pnf1\pnindent0{\pntxtb\'B7}}\nowidctlpar\li1420\sa240\qj\tx1420 The LICENSEE is responsible for determining the appropriateness of INRAPORC and the DATABASE to the LICENSEE\rquote s needs, for the control of their functioning, and for their USE under conditions that will cause no personal harm or property damage. \par

{\pntext\f1\'B7\tab}INRAPORC and the DATABASE are provided on an \ldblquote as is\rdblquote  basis without any other guaranty than the existence of INRAPORC and the DATABASE either express or implied, including the exclusion of guaranty regarding any title (of property or exploitation), lack of infringement, commercial quality, secured character, innovating and relevant nature of INRAPORC and the DATABASE, the absence of errors, and compatibility with equipment and/or software configuration of the LICENSEE.\par

{\pntext\f1\'B7\tab}For any direct or indirect damage arising from the USE or the performance of INRAPORC and the DATABASE to the LICENSEE as a COMMERCIAL END-USER, when used for professional purposes.\par

\pard\nowidctlpar\fi-426\li1420\sa240\qj\tx1420 11.2.\tab The parties explicitly agree that any financial or commercial loss (for instance: loss of data, loss of customers or of orders, loss of benefit, operating loss, opportunity loss, commercial trouble) or any action directed against the LICENSEE by a third party constitutes an indirect damage and is not eligible for compensation of damage by INRA and/or AFZ and/or INRA TRANSFERT.\par

\pard\nowidctlpar\fi-994\li994\sa240\qj\tx994\ul\b Article\caps  12.\tab TERMINATION of THE AGREEMENT\par

\pard\nowidctlpar\li994\sa240\qj\ulnone\b0\caps0 In case of failure of the LICENSEE to comply with any term of this agreement, the license will automatically terminate. In case of termination, the LICENSEE\i  \i0 must immediately destroy the \caps software \caps0 as well as any copy, adaptation, improvement or any part of the \caps software\caps0  merged with other software.\par

\pard\nowidctlpar\li994\sa240\qj\ulnone\b0\caps0 This agreement and all disputes arising out of the execution or interpretation of this license shall be governed by French law.\par

\pard\nowidctlpar\li994\sa240\qj\ulnone\b0\caps0 The present license has been established in two versions, one in French and one in English. In case of difficulties of interpretation, the French version shall be used.\par
